modavib.com is operated by Modavib. These Terms apply to and govern your use of modavib.com and any authorized users of your account. If you do not agree to be bound by these Terms, you may not access or otherwise use modavib.com. Please read the Privacy Policy before using modavib.com.

License to Use MODAVIB.COM

This website, including all of its contents, such as text, images and the HTML code used to generate the pages, is our property or the property of our suppliers or licensors and is protected by patent, trademark and/or copyright under the laws of the United Kingdom and/or other countries. Modavib grants you a non-exclusive, non-transferable, limited right to access, use and display modavib.com and the materials on it solely for your personal use, provided that you fully comply with these Terms. You may not interfere or attempt to interfere with the operation of modavib.com by any means or device, including, but not limited to, spamming, hacking, uploading computer viruses or time bombs or any other means expressly prohibited by any provision of these Terms.

You understand and agree that you may not copy, replicate, resell, manipulate or exploit for any commercial purpose any part of modavib.com, nor may you frame or mirror any part of modavib.com, without Modavib’s prior written authorization. In addition, you may not create derivative works of, copy, upload, edit, publish, transmit or distribute any material from modavib.com in any way without Modavib’s prior written authorization.

In return, you grant Modavib and its wholly owned subsidiaries, third party service providers providing content management services and retail partners (if any) (collectively, the “Licensee”) a royalty-free, transferable, non-exclusive license to use, copy, reproduce, adapt, translate and distribute any content you provide to us or post on this Website, worldwide in any media, for any purpose, including commercial, advertising or otherwise.

CHANGES TO MODAVIB.COM AND/OR TERMS

Modavib reserves the right, at its sole discretion, to change, modify, add or remove any part of modavib.com or these Terms, in whole or in part, at any time. Changes to these Terms will be effective upon posting. You agree to review these Terms periodically to be aware of any changes. Your continued use of modavib.com after any changes to these Terms are posted will be deemed acceptance of those changes.

TRADEMARKS, COPYRIGHTS AND RESTRICTIONS

The Modavib logo, modavib.com and their related designs, text, graphics and code are the intellectual property of Modavib and its affiliates. Other trademarks, service marks, logos, images or domain names (including, but not limited to, individual names and domain names of movies, television shows or other entertainment programs) used on modavib.com that are not owned by Modavib are the trademarks, service marks, logos and/or domain names of their respective owners ("Third Party Trademarks"). You agree not to contest the ownership of Modavib or any third party's respective Trademarks and that you will not register or attempt to register any trademarks, service marks, logos and/or domain names that are identical or confusingly similar to Modavib's Trademarks or Third Party Trademarks.

Linked Sites

Modavib is not affiliated with, and is not responsible for the content of, any web sites that may be linked to modavib.com or the multimedia content ("Linked Sites"). Links from modavib.com to Linked Sites are provided solely as a convenience to you and you access them at your own risk.

Any linking to this Site requires authorization from us. To request authorization from us, please write to the address below. However, we reserve the right to deny any linking request or to revoke any such linking permission granted by us at any time and to terminate any such linking to this Site in our sole discretion.

Website Rules and Restrictions

We reserve the right to terminate, change, suspend or discontinue any aspect of the Website, including but not limited to information, data, text, music, sound, photographs, graphics, video, messages or other materials, features and/or hours of availability, for any reason at our sole discretion, without notice to you and without liability to you or any third party. We may also impose rules and restrictions on the use of the Website, or restrict your access to parts or all of the Website, without notice or penalty. We reserve the right to change these rules and/or restrictions at any time at our sole discretion. Modavib does not reserve any rights beyond its rights under the Consumer Fairness Act 2016.

Specific Prohibited Uses

The Website is intended for lawful purposes only by individuals using Modavib’s authorised services. You are responsible for your own communications, including uploading, transmitting and posting messages, and for the consequences of your posting of messages on or through the Website. Modavib expressly prohibits any use of this Website and requires all users to agree not to use this Website in a manner that violates Modavib's Terms of Use, Customer Ratings and Reviews Terms and Conditions and/or Review Guidelines, or to do any of the following:

a. Impersonate another person;

b. transmit or divert information or software obtained from this Website to a foreign country or countries in violation of UK export control laws;

c. Attempt to interfere in any way with the Website or Modavib's network or network security, or attempt to use the Website's services to gain unauthorized access to any other computer system.

Security Rules

Violations of system or network security regulations may result in civil or criminal liability. Modavib will investigate the incident and may involve and cooperate with law enforcement authorities in prosecuting users involved in such violations. You may not violate or attempt to violate the security of the Site, including, but not limited to, the following:

a. Access data not intended for the user or log into a server or account which the user is not authorized to access;

b. Attempt to probe, scan or test the vulnerability of a system or network or to breach security or authentication measures without proper authorization;

c. Attempt to interfere with service to any user, host or network, including, without limitation, by means of submitting a virus to the Site, overloading, "flooding," "mailbombing" or "crashing" the Site; or sending unsolicited email, including promotions and/or advertising for products or services, or

d. Forging any TCP/IP packet header or any part of the header information in any email or newsgroup posting.

User Generated Content

We are not responsible for content posted by users on the Site. You are solely responsible for any material you submit through the Site, including photos, messages, text, information, videos, user profiles (such as your name and user profile picture or avatar), and any other content you upload, share, post or display on or through the Site. You may not upload, post, transmit, distribute or share user-generated content (UGC) on the Site that you did not create or that you do not have the right to share. You must not post or upload any content on this website that violates our Customer Ratings and Reviews Terms and Conditions or Review Guidelines. You warrant that any UGC you post, transmit or share is owned by you or you have permission to use it. UGC does not reflect our views or opinions and we will not be liable for any UGC under any circumstances, including but not limited to errors, omissions or any loss or damage of any kind arising from the use of or reliance on any UGC. You understand and agree that you have granted Modavib a royalty-free, transferable, non-exclusive license to use, distribute and share the User Generated Content (UGC) for promotional and marketing purposes. You also understand and agree that we have the rights set out in the Customer Ratings and Reviews Terms and Conditions but not the obligation to modify or remove the Website Content or User Generated Content (UGC). Modavib does not retain any rights beyond those it has under the Consumer Fairness Act 2016.

User Submissions

You may post or upload content created by you (including but not limited to photos, social media accounts, videos and reviews, collectively referred to as "User Submissions") to your social media accounts. By posting and uploading your User Submissions using #Modavib or other hashtags used by Modavib, you are granting Modavib, its third-party service providers that provide content management services, and its retail partners, if any, (collectively, the “Licensee”) a royalty-free, transferable, non-exclusive license to use your Modavib-tagged User Submissions in any manner as determined by Licensee in its sole discretion, including, without limitation, to use, display, reproduce, distribute, transmit, create derivative works of, and/or combine your User Submissions with other materials on its web pages, social media pages operated by Modavib, and in other marketing, promotional and advertising activities, in any media now known or hereafter known, without any obligation to you. You grant Licensee a royalty-free, transferable, non-exclusive license to use your username, real name, image, likeness, title, location or other identifying information for any purpose with respect to your User Submissions. You hereby represent and warrant that: (i) you own all rights in your User Submissions; (ii) you have obtained permission from all persons appearing in your User Submissions to grant you the rights granted herein; (iii) you are not a minor; and (iv) the use of your User Submissions by the Licensees as described herein will not infringe the rights of any third party, any law, or Modavib's Customer Ratings and Reviews Terms and Conditions or Review Guidelines. You hereby release, discharge and agree to hold harmless Modavib Licensees and anyone acting on Modavib's behalf or for Modavib from any liability related to the Licensees' use of your User Submissions. Modavib does not retain any rights beyond its rights under the Consumer Fairness Act 2016.

Disclaimer

(A) User expressly agrees that use of the Service is at its own risk. NEITHER MODAVIB, ITS AFFILIATES NOR ANY OF THEIR RESPECTIVE EMPLOYEES, AGENTS, THIRD PARTY CONTENT PROVIDERS OR LICENSEES, IF ANY, WARRANT THAT: (1) THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE; (2) ANY ERRORS WILL BE CORRECTED; (3) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE OR AS TO THE ACCURACY, RELIABILITY OR CONTENT OF ANY INFORMATION, SERVICES OR MERCHANDISE PROVIDED THROUGH THE SERVICE; (4) THIS SITE OR THE SERVER OR SOFTWARE THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR (5) THE SITE, SOFTWARE OR SERVER DO NOT INFRINGE ANY PATENT OR OTHER INTELLECTUAL PROPERTY RIGHTS OF ANY PERSON.

(B) MODAVIB.COM, THE SOFTWARE AND OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF TITLE OR IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, OTHER THAN THOSE WARRANTIES IMPLIED BY LAW APPLICABLE TO THIS AGREEMENT THAT CANNOT BE EXCLUDED, RESTRICTED OR MODIFIED.

(C) The disclaimers in this section apply to any damages or injury caused by any failure of performance, error, omission, interruption, deletion, defect, delay in operation or transmission, computer virus, communication line failure, theft or destruction or unauthorized access to, alteration of, or use of record, whether for breach of contract, tortious behavior, negligence, or under any other cause of action.

(D) In no event shall Modavib or any person or entity involved in creating, producing, or distributing the Services be liable for any direct, indirect, incidental, special, or consequential damages arising out of the use of or inability to use the Services or for breach of any warranty.

(E) Modavib neither endorses nor is responsible for the accuracy or reliability of any opinion, advice, or statement made on the Online Services.

(F) Modavib does not endorse, warrant, or guarantee any products or services offered by third parties through the Services and will not be a party to or in any way monitor any transaction between any user and third-party providers of products or services. As with the purchase of a product or service through any medium or in any environment, each user should use his or her best judgment and exercise caution where appropriate.

Limitation of Liability

Under no circumstances, including but not limited to negligence, will Modavib be liable for any indirect, special, exemplary or consequential damages arising out of the use of, or inability to use, the Site or the Software, even if Modavib has been advised of the possibility of such damages. Applicable law may not allow the limitation or exclusion of liability for exemplary, incidental or consequential damages, so the above limitation or exclusion may not apply to you. In no event shall Modavib's total liability to you for all damages, losses, and actions (whether in contract, tort (including but not limited to negligence) or otherwise) exceed the amount paid by you, if any, for accessing modavib.com.

Indemnification

You agree to indemnify, defend and hold us, our officers, directors, employees, agents and representatives harmless from any and all claims, damages, losses, expenses (including reasonable attorneys' fees) or other costs arising directly or indirectly from your breach of this Agreement and/or your activities related to the Site in violation of Modavib's Customer Ratings and Reviews Terms and Conditions or Review Guidelines.

Price Adjustments

Due to high demand and limited inventory, we are unable to adjust prices.

Taxes

modavib.com complies with state sales and use tax regulations, with specific rates depending on the destination address of your shipment. Unless otherwise noted below, we collect applicable taxes as required by law. Orders shipped to AL, AZ, CA, CO, CT, FL, GA, HI, IL, IN, KS, KY, LA, MA, MD, MI, MO, MN, NV, NJ, NM, NY, NC, RI, OH, PA, PR, SC, TN, TX, UT, VA, WA, and WI may be subject to taxes based on their respective requirements.

Orders shipped to Alaska, Arkansas, Delaware, Idaho, Iowa, Maine, Mississippi, Montana, Nebraska, New Hampshire, North Dakota, Oklahoma, Oregon, South Dakota, Vermont, West Virginia, and Wyoming are tax-free. Please note that the order total at checkout is an estimated tax amount. The actual amount charged to your credit card will reflect all applicable state, local, and county taxes and will be calculated after your order ships.

Canadian Taxes and Duties

Canadian taxes and duties are calculated separately from shipping costs. If you place an order in Canada, your tax bill will include both national taxes and provincial taxes based on your location. Duties are taxes imposed by Canadian customs authorities on imported goods. Tax rates vary depending on the type of goods you are importing and the country of origin or production. For your convenience, we calculate and collect duties during the checkout process and pay them to Canadian customs authorities on your behalf.

Your order total, including taxes and duties, will be displayed in USD at checkout. You can review and approve these charges before completing your order. If you need to return an item, we will refund the taxes and duties you paid.

Social Responsibility

Committed to combating human trafficking, child or involuntary labor, and worker abuse. Although Modavib does not own any of its own manufacturing facilities, Modavib believes it is critical to continually evaluate, understand, and where necessary and appropriate, proactively improve the working conditions of employees who produce Modavib products. Our efforts in this regard are designed to ensure that contract factories that produce Modavib products comply with local labor laws and that we do everything we can to combat child labor, slavery, and human trafficking. These efforts include, but are not limited to, the following:

Conducting routine audits of contract factories by hiring an experienced external third party - these audits focus on employee working conditions, specifically (among other concerns): work environment, human rights, worker age verification, wage issues, work hours, safety, and discrimination;

Modavib suppliers are required to sign our purchasing agreement (which includes an acknowledgement of Modavib's Supplier Business Ethics Policy and Modavib's Supplier Manual), which requires (among other requirements) that they comply with all local labor laws, prohibit the use of child labor and any form of involuntary labor, prohibit the use of physical or mental abuse, require them to undergo our routine social compliance audits, and require their contracted facilities to do the same; and Modavib Suppliers are required to complete a detailed security questionnaire and receive a best practices manual (both related to goods security) during their supplier onboarding process.

If any social compliance audits of our supplier’s contract factories reveal issues or require corrective action, Modavib and its suppliers will follow up with the offending supplier to ensure that the issues are resolved. If any such issues are not resolved, Modavib will cease working with the offending factory/supplier until the issues are resolved. Both Modavib and its auditing contractors will maintain up-to-date records and retain them for a certain period of time to ensure the integrity of this process.

Modavib also encourages its employees and management who have direct responsibility for supply chain management to receive training on how to reduce risks associated with human trafficking and slavery. Such training includes participating in supply chain workshops and webinars provided by independent companies.

We reserve the right to correct any errors, inaccuracies, or omissions and to change or update information at any time without prior notice (including after you have submitted your order). These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of laws provisions. You agree that any disputes arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales, and you hereby irrevocably submit to the personal jurisdiction of such courts. Nothing in these Terms shall limit our right to bring proceedings against you in any other court of competent jurisdiction. If any provision of these Terms is found to be invalid or unenforceable under English law, that provision shall be deemed severable without affecting the validity and enforceability of the remaining provisions.

Modavib respects the intellectual property of others. If you believe that your work has been copied in any way that constitutes copyright infringement or infringes other intellectual property rights, please provide Modavib's Copyright Agent with the written information specified below:

An electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest;

A description of the copyrighted work that you claim has been infringed;

A description of where the material that you claim is infringing is located on the Site;

Your address, telephone number, and email address;

A statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law;

A statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf.

Jurisdictional Issues

You agree that these Terms will be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of laws provisions. Your use of the Site may also be subject to other applicable local laws. You irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or your use of the Site, and you submit to the exclusive jurisdiction of the English courts for this purpose.

Termination

You understand and agree that Modavib, in its sole discretion, may terminate your password or account at any time and immediately deactivate and/or delete any or all information associated with your account, including your registration information. You understand and agree that Modavib may take one or more of the above actions without prior notice to you. You understand and agree that Modavib shall not be liable to you or anyone else for any termination of your access to your account and/or deletion of information associated with your account. Modavib does not reserve any rights beyond its rights under the Consumer Review Fairness Act of 2016.

Notices

Modavib may, in its sole discretion, provide you with notices by email, regular mail, and/or other reasonable means. The Site may also provide you with notices of changes to these Terms or other matters by displaying notices or links to notices on the Site, and/or by using other reasonable means.

General Information

These Terms constitute the entire agreement between you and Modavib and govern your use of the Site, superseding any prior agreements between you and Modavib. You may also be subject to additional terms and conditions that apply to certain portions of the Site.

You agree that no joint venture, partnership, employment, or agency relationship exists between Modavib and you as a result of these Terms or your use of the Site.

Any claim or cause of action you may have against Modavib or the Site must be filed within one (1) year after the claim or cause of action arises.

The failure of Modavib to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. If any provision of these Terms is held by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties’ intentions as reflected in the provision, and the other provisions of these Terms remain in full force and effect.

You may not assign these Terms or any of your rights or obligations under them without our express written consent.

These Terms are for the benefit of Modavib's successors, assigns and licensees. The section headings in these Terms are for convenience only and have no legal or contractual effect.
